DELIVERY OF SERVICES

Subject to receipt of the fees, Genx Diagnostics Ltd. shall carry out the test(s) as requested in this Test Requisition Form (“Test(s)”) in conformity with the applicable industry standards.

REPORTS

The Report shall be generated within such Turn-Around-Time (“TAT”) as mentioned in this Test Requisition Form(s). However, such TAT may vary depending upon the complexity of Test(s) requested. Genx Diagnostics Ltd. shall under no circumstances be liable for any delay beyond the aforementioned TAT.

It is hereby clarified that the Report(s) generated from the Test(s) do not provide any diagnosis or opinion or recommends any cure in any manner. Genx Diagnostics Ltd. hereby recommends the Patient and/or the guardians of the Patients, as the case may be, to take assistance of the Clinician or a certified physician or doctor, to interpret the Report(s) thus generated. Genx Diagnostics Ltd. hereby disclaims all liability arising in connection with the Report(s).

FEES

The fees specified by Genx Diagnostics Ltd. for the Test(s) (“Fees”) are exclusive of taxes. All taxes and levies as required under applicable laws shall be charged in addition to the fees. The mode of payment of fees and the details of the Test(s) for which the payment of fees is made should be notified to Genx Diagnostics Ltd. in advance through e-mail by mailing at its e-mail id care@genxlive.in .Genx Diagnostics Ltd. shall not be liable towards the fees if the payment for the fees is not made in the manner provided herein. In order to avoid any confusions pertaining to the payment of fees and the Test(s) requested, the Patients and/or their guardians are hereby advised to confirm the successful remittance of the fees during registration.

ROLES &RESPONSIBILITIES:

Genx Diagnostics Ltd. can help in processing sample collected from different sources like patients,collection centre/hospital to Genx Diagnostics Ltd. laboratory facility. In case of inadequate samples or failure of QC with respect to sample provided for test, Genx Diagnostics Ltd. may seek for further samples to perform the tests. If further samples are not provided for tests, then Genx Diagnostics Ltd. will deduct the costs incurred for such sample provided and refund the balance amount. The Clinicians and/or the Patient and/or the guardians of the Patients, shall jointly and severally, defend, indemnify and hold Genx Diagnostics Ltd. harmless from and against any claim, liability, demand, compensation, loss, damage, judgment or other obligation or right of action which may arise out of and/or in relation to the Test(s) requested /or this Terms & Conditions.

TERM

This Terms & Conditions shall become effective from the date of registration of test and shall remain valid, effective and binding till delivery of the Report.

TERMINATION

If the Test(s) cancelled for any reason whatsoever, Genx Diagnostics Ltd. shall not be required to refund the fees paid in advance by the Patient and/or the guardians of the Patients for the Test(s). However, refund shall be awarded if and only if the sample provided doesn’t pass the QC or if the sample provided is inadequate for performing the test.

LIMITATION OF LIABILITY

In addition to any disclaimer of liability provided by Genx Diagnostics Ltd, Genx Diagnostics Ltd. further disclaims any and all liability arising out of any claim, liability, demand, compensation, loss, damage, judgment or other obligation or right of action which is suffered by the Clinician and/or the Patient and/or the guardians of the Patients or any third party whether directly or indirectly for relying on the Report(s) and/or in relation to the Test(s) availed.

GOVERNING LAW, JURISDICTION AND DISPUTE RESOLUTION

These Terms and Conditions shall be governed by and construed in accordance with Indian law and the courts in Bhubaneswar shall have exclusive injunctive jurisdiction. In the event of any dispute, controversy or claim whatsoever arising from these Terms and Conditions, the parties shall undertake to make every effort to reach an amicable settlement within fifteen (15) days upon reference of the dispute by any party through discussions among the concerned representatives of parties, failing which the dispute, controversy or claim shall be settled by Bhubaneswar Khorda as amended from time to time.

NOTICE

All notices, statements or other communication required or permitted to be given or made shall be in writing and in English language.

INDEPENDENT PARTIES

All parties effected hereunder are independent entities and neither of the parties are an agent, employee or joint venture of the other and they shall not represent themselves as such to any third parties.

Refund Policy:

Refund of fees for any reason has to be claimed by the Patient or the guardians of the Patients within 15 days from the date of registration.

B2B TERMS & CONDITIONS:

Terms & Conditions: (As per Genx )

1. Client shall be responsible for collecting the Test samples as per accepted clinical guidelines and applicable laws.
2. Genx shall facilitate the pick-up of collected samples in one or more suitable temperature-controlled transport/courier facility as per negotiation. In the event a sample does not pass the quality control check test, Client will provide a fresh sample to Genx.
3. Genx bears the right to change the price as per market standard, the same will be intimated to you before 10 days.
4. Genx will furnish the Test reports to the Client. Genx will not be responsible for delays in reporting due to circumstances beyond its control. The test reports must be collected within one month of the billed service; Genx  is not accountable for the reports if they are not collected or requested within one month.
5.  Client will make the payment within 30 days from the date of invoice raised by Genx Diagnostics. Payments beyond due period will levy interest as per MSME Act.
6. All Cheques/DD and TDS certificates are to be made in favor of “Genx Diagnostics  Limited”. Bounced cheques will attract a fine of Rs. 500/- per cheque. RTGS/NEFT details are to be emailed to madhab@genxlive.in.
7.  Any discrepancy in the invoices or issues related to the billed services are to be notified at accounts@genxlive.in within 7 days of the date of the invoice. 
8.  Genx shall not be responsible, in any manner whatsoever, for any delay in performance of services which may be caused, directly or indirectly, due to gross negligence or willful misconduct of the Client and any event beyond Genx reasonable control. 
9. Client shall not in any way alter, modify, add, remove, or otherwise change the Test reports furnished by Genx Diagnostics; Genx assumes no liability for any changes/alterations.
10. Any dispute arising out of the Services shall, if not resolved amicably between the Parties within thirty (30) days, be referred to courts in Bhubaneswar, exclusive Khorda jurisdiction.
